Terms of service

These Terms of Use and Service (“Terms”) form a legal agreement between you and Precision Transfers (“Precision Transfers,” “we,” “us,” or “our”).

These Terms govern:

  • your access to and use of the Precision Transfers website (the “Site”);
  • orders placed through the Site or directly with Precision Transfers;
  • media digitization, transfer, storage, delivery, and related services; and
  • any photographs, films, videotapes, audio recordings, discs, digital files, or other materials you provide to us (“Customer Media”).

Please read these Terms carefully before using the Site or placing an order.

1. Acceptance of These Terms

By accessing the Site, creating an account, placing an order, submitting Customer Media, or otherwise using our services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Site or submit an order.

An order may also be subject to additional terms shown during checkout, included in a written quote, or agreed to in writing. If there is a conflict, the more specific order or quote terms will apply to that order.

Electronic acceptance of these Terms, including selecting a checkbox or submitting an online order, may constitute acceptance of an electronic contract in accordance with applicable law.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to place an order.

A person under 18 may use our services only with the involvement and authorization of a parent or legal guardian.

If you place an order on behalf of a business, institution, archive, museum, government body, or other organization, you confirm that you have authority to bind that organization to these Terms.

3. Changes to These Terms

We may update these Terms periodically to reflect changes in our services, business practices, or legal obligations.

The revised Terms will be posted on the Site with an updated effective date. Changes will apply prospectively unless otherwise required by law.

The Terms that applied when you placed an order will generally continue to govern that order unless you and Precision Transfers agree otherwise or a change is required by law.

4. Privacy

Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy.

Customer Media may contain personal information relating to you or other individuals. By submitting Customer Media, you authorize us to access and process that content only as reasonably necessary to provide the requested services, including inspection, digitization, quality control, storage, delivery, customer support, and return or disposal.

5. Orders

All orders are subject to acceptance by Precision Transfers.

We may contact you to clarify an order, confirm the condition or format of Customer Media, obtain additional instructions, or advise you of additional work or charges that may be required.

An automated order confirmation does not necessarily mean that we have inspected or confirmed that the Customer Media can be processed.

We may refuse, suspend, or cancel an order where reasonably necessary, including when:

  • the requested service is unavailable;
  • the Customer Media cannot be safely processed;
  • the order information is incomplete or inaccurate;
  • payment cannot be authorized;
  • we reasonably believe the order or Customer Media may violate applicable law or the rights of another person;
  • the order poses a security, safety, or technical risk;
  • the Customer Media contains prohibited content; or
  • an obvious pricing or service-description error has occurred.

If we cancel an order after payment, we will refund the amount paid for services we do not provide, subject to any authorized inspection, shipping, or work already completed.

6. Prices, Taxes, and Payment

Prices are shown in Canadian dollars unless otherwise stated.

Applicable taxes, shipping charges, optional services, and other fees will be displayed during checkout, stated in your quote, or otherwise disclosed before being charged.

You authorize Precision Transfers and its payment providers to charge your selected payment method for:

  • the services ordered;
  • applicable taxes;
  • shipping and return-shipping charges;
  • approved additional work; and
  • other amounts disclosed and accepted by you.

We may correct an obvious pricing, typographical, or calculation error. If a correction materially increases the price of an accepted order, we will contact you for approval before proceeding.

7. Customer Media and Ownership

You retain ownership of your Customer Media and the content contained within it.

Submitting Customer Media to Precision Transfers does not transfer ownership or copyright to us. You grant us a limited, non-exclusive permission to handle, reproduce, convert, process, store, and deliver the Customer Media solely as necessary to provide the services you requested.

We will not use Customer Media for advertising, promotional materials, demonstrations, or public display without obtaining separate permission from you.

8. Your Authority to Submit Media

By submitting Customer Media, you represent and warrant that:

  • you own the Customer Media or have lawful possession of it;
  • you own the relevant rights or have permission from the rights holder to authorize the requested copying, digitization, conversion, or transfer;
  • performing the requested services will not infringe copyright, privacy, publicity, contractual, or other rights;
  • the Customer Media was not unlawfully obtained;
  • the Customer Media does not contain unlawful material; and
  • your instructions comply with applicable Canadian law.

You are responsible for obtaining any permission required from copyright holders or identifiable individuals appearing in the Customer Media.

Precision Transfers is a service provider and is not responsible for determining ownership of submitted content. We may refuse to process content where ownership or authorization is unclear.

9. Prohibited Content

You may not submit Customer Media that:

  • contains child sexual abuse or exploitation material;
  • unlawfully depicts intimate images;
  • promotes or records criminal activity;
  • infringes copyright or other intellectual property rights;
  • violates another person’s privacy or legal rights;
  • contains malicious software or corrupted digital files that may harm our systems; or
  • is otherwise unlawful to possess, reproduce, process, or distribute.

If we reasonably believe Customer Media is unlawful or creates a serious risk to a person, Precision Transfers, or the public, we may stop work, preserve relevant evidence, and make any disclosure required or permitted by Canadian law.

Nothing in these Terms requires or authorizes Precision Transfers to review every item or recording submitted by customers.

10. Condition of Customer Media

Customer Media may be old, fragile, deteriorated, damaged, contaminated, incomplete, mislabeled, or incompatible with available equipment.

By submitting Customer Media, you acknowledge that:

  • aging media may deteriorate during normal inspection, handling, playback, cleaning, or transfer;
  • mould, brittleness, sticky-shed syndrome, damaged housings, broken splices, warping, corrosion, or other conditions may prevent successful transfer;
  • the quality of a transfer depends on the condition and quality of the original recording;
  • some audio, images, footage, files, or data may be incomplete, distorted, inaccessible, or unrecoverable; and
  • digitization cannot restore information that was never recorded or has already been permanently lost.

We will use reasonable care and professional practices when handling Customer Media. However, we do not guarantee that every item can be transferred or that every transfer will be free from defects inherent in the original media.

11. Additional Work and Unplayable Media

If Customer Media requires repair, cleaning, specialized handling, format identification, or work outside the original order, we may contact you with available options and any additional charges.

We will not perform material additional work or charge an additional service fee without your approval, except for minor steps reasonably included in the purchased service.

If Customer Media cannot be transferred because of its age, condition, format, damage, or incompatibility, we may:

  • refund the applicable unperformed transfer charge;
  • offer an alternative service;
  • return the Customer Media at your expense; or
  • follow other instructions you have authorized.

Inspection, diagnosis, attempted transfer, specialized handling, and shipping charges may be non-refundable if they were disclosed and incurred.

12. Turnaround Times

Any turnaround time stated on the Site, in an order confirmation, or in a quote is an estimate unless we expressly guarantee a completion date in writing.

Turnaround times may be affected by:

  • order volume;
  • the number and type of items submitted;
  • media condition;
  • required repairs or specialized equipment;
  • customer response times;
  • shipping delays;
  • technical issues; and
  • events outside our reasonable control.

We will make reasonable efforts to communicate material delays.

13. Shipping Customer Media to Precision Transfers

You are responsible for safely packaging Customer Media and shipping it to Precision Transfers using a reliable, trackable carrier.

Unless otherwise agreed in writing:

  • you are responsible for the cost of sending Customer Media to us;
  • the risk of loss or damage remains with you until the shipment is delivered to and accepted at our facility; and
  • Precision Transfers is not responsible for delays, loss, damage, theft, or misdirection that occurs while Customer Media is in transit to us.

We recommend retaining an inventory of the materials submitted, using tracking, packing items securely, and purchasing carrier insurance where appropriate.

14. Return Shipping

Unless otherwise stated during checkout:

  • a return-shipping charge of $24.95 applies to orders under $150 before tax; and
  • orders over $150 before tax qualify for free standard return shipping within Canada.

Free return shipping applies only to the standard shipping method and destinations supported by the offer. Additional charges may apply for remote locations, oversized shipments, expedited delivery, special handling, or other services outside standard shipping.

Return-shipping fees and eligibility are determined by the terms displayed when the order is placed.

15. Risk During Return Shipping

Precision Transfers is responsible for using reasonable care while Customer Media is in our possession.

Once Customer Media is transferred to the return carrier, transit risk is subject to the carrier’s terms, available insurance, and applicable law. We are not responsible for a carrier’s delay, loss, theft, damage, or misdelivery unless caused by our failure to package or address the shipment with reasonable care.

If a return shipment is lost or damaged, we will reasonably assist you with a carrier claim. Any carrier compensation will be subject to the carrier’s declared-value, insurance, and claims policies.

Nothing in this section limits rights or remedies that cannot lawfully be excluded.

16. Local Drop-Off and Pickup

Local drop-offs and pickups are available by appointment.

You are responsible for attending the scheduled appointment or providing reasonable notice if you need to reschedule.

We may require identification, an order number, or written authorization before releasing Customer Media or completed files to another person.

17. Digital Delivery

Completed files are generally delivered through a secure cloud link or another delivery method stated in your order.

You are responsible for:

  • accessing the delivery link before it expires;
  • downloading completed files promptly;
  • confirming that the files can be opened;
  • notifying us of any apparent missing or corrupted files within the review period; and
  • maintaining your own backup copies.

Compatibility may vary by device, operating system, software, television, storage device, and file format. Unless a particular format is agreed to in writing, we will use the standard delivery format associated with the purchased service.

18. Temporary Storage and Backups

Unless a different period is stated in your order or service agreement, we generally retain completed digital files for up to six months after order completion.

This temporary retention is intended to support delivery, quality control, and limited service recovery. It is not a permanent archival service.

If you purchase extended cloud hosting, files may be retained for the purchased hosting period.

You are responsible for downloading and maintaining your own backup copies. After the applicable retention period, files may be permanently deleted without further notice.

We do not guarantee that a backup will always be available or recoverable.

19. Original Media

Your checkout selections or written instructions will determine whether original Customer Media is:

  • returned by shipping;
  • held for local pickup; or
  • retained temporarily and recycled or securely disposed of after an agreed period.

We will not intentionally recycle or dispose of original Customer Media unless you have selected or otherwise authorized that option.

If Customer Media is held for pickup and remains unclaimed after the agreed collection period, we will make reasonable efforts to contact you before treating it as abandoned. Additional storage or shipping charges may apply where disclosed.

20. Reviewing Completed Work

You should review completed files promptly after delivery.

If you believe an item is missing, incomplete, corrupted, or improperly transferred, contact us within 30 days after delivery or notification of completion and provide:

  • your order number;
  • a description of the affected item;
  • a description of the issue; and
  • any information reasonably needed to investigate.

We may review the files, repeat the transfer, provide replacement files, or offer another appropriate remedy.

The 30-day review period does not limit rights or remedies that cannot be waived under applicable consumer-protection law.

21. Refunds and Re-Transfers

Because our services involve customized work performed on customer-supplied media, completed services are generally non-refundable unless:

  • the service was not provided;
  • the transfer materially fails to meet the agreed service description;
  • we approve a refund;
  • these Terms provide otherwise; or
  • a refund or other remedy is required by law.

Where an issue can reasonably be corrected, we may first offer to review or repeat the affected transfer at no additional service charge.

Shipping charges, completed inspection work, approved repairs, specialized handling, and successfully completed portions of an order may be non-refundable where permitted by law.

22. Consumer Rights

Nothing in these Terms excludes, restricts, or waives a right or remedy that cannot be excluded, restricted, or waived under applicable consumer-protection law.

If any provision of these Terms conflicts with a mandatory consumer-protection requirement, the mandatory requirement will apply to the extent of the conflict.

23. Website Content

The Site and its content are provided for general informational purposes.

We make reasonable efforts to keep information accurate and current, but product descriptions, prices, promotions, availability, turnaround estimates, photographs, and other Site content may contain errors or become outdated.

We may correct errors and update Site content at any time. Where an error affects an accepted order, we will contact you before making a material change to that order.

24. Acceptable Use of the Site

You may use the Site only for lawful purposes.

You must not:

  • interfere with the operation or security of the Site;
  • attempt to gain unauthorized access to an account, system, or network;
  • introduce viruses, malicious code, or harmful material;
  • scrape, copy, or extract Site content through automated means except as permitted by law or with our written consent;
  • impersonate another person;
  • submit false or misleading information;
  • use another person’s account without authorization;
  • circumvent a security or access-control measure; or
  • use the Site in a way that violates applicable law or another person’s rights.

We may restrict or suspend access where reasonably necessary to protect the Site, our customers, or our operations.

25. Intellectual Property

Unless otherwise stated, the Site and its original content—including text, graphics, logos, photographs, designs, interfaces, and software—are owned by or licensed to Precision Transfers and are protected by Canadian and international intellectual-property laws.

You may view and use the Site for personal, non-commercial purposes related to evaluating or purchasing our services.

You may not reproduce, distribute, modify, publish, sell, license, create derivative works from, or commercially exploit Site content without our prior written permission, except where permitted by law.

Precision Transfers does not claim ownership of Customer Media.

26. Copyright Complaints

If you believe content on the Site infringes your copyright, contact us at info@precisiontransfers.com and provide:

  • your name and contact information;
  • identification of the copyrighted work;
  • identification and location of the allegedly infringing content;
  • an explanation of your rights or authority to act for the rights holder; and
  • any other information reasonably necessary to investigate the complaint.

We will review copyright complaints in accordance with applicable Canadian law.

27. Third-Party Services and Links

The Site may use or link to third-party services, including Shopify, payment processors, cloud-storage providers, appointment platforms, shipping carriers, and social-media services.

Third parties operate under their own terms and privacy practices. Precision Transfers is not responsible for third-party websites or services that we do not control.

The inclusion of a third-party link does not necessarily constitute an endorsement.

28. Disclaimers

To the maximum extent permitted by law:

  • the Site is provided on an “as is” and “as available” basis;
  • we do not guarantee uninterrupted, secure, or error-free access to the Site;
  • we do not guarantee that every type of Customer Media can be transferred;
  • we do not guarantee improvement over the quality or condition of the original recording; and
  • estimated completion, shipping, and delivery dates are not guaranteed unless expressly agreed in writing.

These disclaimers do not exclude warranties, conditions, rights, or remedies that cannot lawfully be excluded.

29. Limitation of Liability

Precision Transfers will use reasonable care in providing its services and handling Customer Media.

To the maximum extent permitted by law, Precision Transfers will not be liable for:

  • loss inherent in the age, condition, deterioration, format, or defect of Customer Media;
  • loss or damage caused by a carrier or other third party outside our reasonable control;
  • indirect, incidental, special, or consequential loss;
  • lost profits, revenue, business opportunities, or reputation;
  • loss arising from a customer’s failure to download or back up completed files;
  • incompatibility with a particular device, application, or system not agreed to in writing; or
  • loss caused by inaccurate instructions or a breach of these Terms by the customer.

To the maximum extent permitted by law, Precision Transfers’ total liability arising from an order will not exceed the amount paid for the affected service.

This limitation does not apply to liability that cannot lawfully be limited, including liability arising from fraud, wilful misconduct, gross negligence, or a breach of applicable consumer-protection law to the extent such liability cannot be excluded.

Because original media may have personal or sentimental value far exceeding its physical or market value, customers should retain copies where possible and use appropriate shipping insurance.

30. Indemnification

You agree to indemnify and hold Precision Transfers harmless from third-party claims, damages, liabilities, and reasonable legal costs arising directly from:

  • your lack of authority to submit Customer Media;
  • a claim that processing Customer Media according to your instructions infringed copyright, privacy, or another third-party right;
  • unlawful content submitted by you;
  • your material breach of these Terms; or
  • your misuse of the Site.

This obligation does not apply to the extent a claim was caused by Precision Transfers’ negligence, wilful misconduct, or breach of law.

31. Force Majeure

Precision Transfers will not be responsible for a delay or failure to perform caused by an event beyond our reasonable control, including:

  • natural disasters;
  • fire, flood, or severe weather;
  • war, terrorism, civil unrest, or government action;
  • labour disruption;
  • public-health emergencies;
  • power, internet, telecommunications, or utility failures;
  • equipment failure that could not reasonably have been prevented;
  • carrier or supply-chain disruption; or
  • failure of a critical third-party service provider.

We will make reasonable efforts to notify affected customers, reduce the impact, and resume performance when reasonably possible.

This section does not excuse payment obligations for services already provided.

32. Suspension and Termination

We may suspend or terminate your access to the Site or cancel an order where reasonably necessary because of:

  • a breach of these Terms;
  • fraud or suspected fraud;
  • unlawful activity;
  • non-payment;
  • threats or abusive conduct toward staff or customers;
  • a safety, security, or technical risk; or
  • another legitimate business reason.

Where appropriate, we will provide notice and an opportunity to address the issue.

Termination does not affect rights or obligations that arose before termination.

33. Governing Law

These Terms and any dispute relating to them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules.

Subject to any mandatory consumer rights or jurisdictional requirements, the courts located in Ontario will have jurisdiction over disputes relating to these Terms or our services.

Nothing in these Terms prevents either party from bringing a matter before a court, tribunal, regulator, or consumer-protection authority that has jurisdiction.

34. Notices

We may provide notices relating to an order or these Terms electronically, including by email, through your account, or by posting a notice on the Site where appropriate.

You are responsible for keeping your account and contact information current.

35. Assignment

You may not assign your rights or obligations under these Terms without our prior written consent.

Precision Transfers may assign these Terms as part of a merger, reorganization, financing, sale of assets, or transfer of the business, provided that the assignment does not reduce any non-waivable consumer rights.

36. No Waiver

A failure or delay in enforcing a provision of these Terms does not waive the right to enforce that provision later.

A waiver is effective only if it is made in writing by the party granting it.

37. Severability

If a court or tribunal finds any provision of these Terms invalid, illegal, or unenforceable, that provision will be limited or removed only to the extent necessary.

The remaining provisions will continue in effect.

38. Entire Agreement

These Terms, the Privacy Policy, the applicable order confirmation, and any written quote or service agreement form the entire agreement between you and Precision Transfers concerning the applicable order or use of the Site.

They replace prior discussions or representations concerning the same subject, except for fraudulent misrepresentations or rights that cannot legally be excluded.
